QUANTUMONLINE.COM SECURITY DESCRIPTION: Washington Mutual 8% Corporate Premium Income Equity Securities (PIES) consisting of a purchase contract to purchase shares on WM common stock and a share of Washington Mutual Series H preferred stock. The purchase contract requires the holder to purchase from 1.3356 to 1.7362 shares of Washington Mutual common stock and 1.1130 to 1.3356 CPR certificates by 8/16/2002 for $50 (see the IPO prospectus, page 67 for numerous details). The Series H preferred stock pays cash dividends of 7.25% of the $50 liquidation preference until 8/16/2002 and at the Reset Rate thereafter with distributions paid 2/16, 5/16, 8/16 & 11/16.
