From the form 10-K filed with the SEC on 2/26/2013 -- On July 19, 2012, we redeemed all of the outstanding 7.0% Series D-10 and 6.75% Series D-14 cumulative redeemable preferred units with an aggregate face amount of $180,000,000 for $168,300,000 in cash, plus accrued and unpaid distributions through the date of redemption. ____________ The Series D-10 Preferred Shares will not be listed on any national securities exchange. The Series D-10 shares were originally sold privately to Eaton Vance Tax-Advantaged Dividend Fund on 11/18/2003.

QUANTUMONLINE.COM SECURITY DESCRIPTION: Vornado Realty Trust, 7.00% Series D-10 Cumulative Redeemable Preferred Shares, liquidation preference $25 per share, redeemable at the issuer's option on or after 11/17/2008 at $25 per share plus accrued and unpaid dividends, and with no stated maturity. Cumulative distributions of 7.00% ($1.75) per annum are paid quarterly on 3/15, 6/15, 9/15 & 12/15 to holders of record on the date fixed by the board, not more than 30 days prior to the payment date (NOTE: the ex-dividend date is at least 2 business days prior to the record date). Dividends paid by preferreds issued by REITs are NOT eligible for the preferential 15% to 20% tax rate on dividends and are also NOT eligible for the dividend received deduction for corporate holders. In regards to payment of dividends and upon liquidation, the preferred shares rank equally with other preferreds and senior to the common shares of the company.
