QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Global Markets Holdings Inc., Debt Exchangeable for Common Stock (SynDECS) Variable Rate Exchangeable Notes, subject to exchange into shares of common stock of Regency Centers Corp. (NYSE: REG), due 7/01/2006, issued at $32.56 per share. The preferred shares are mandatorily exchangeable on 7/01/2006 into a variable number of Regency Centers Corp. (NYSE: REG) common shares based on the then current price of the common shares for 20 consecutive trading days immediate prior to the conversion date or the cash equivalent. The conversion settlement rate will be 5/6 shares per unit if the then current market price is equal to or greater than $39.072 and 1 share per unit if the market price is equal to or less than $32.56. For market prices between those values the settlement rate will be $32.56 divided by the market value. The last reported sale price of the common stock on 6/18/2003 was $32.56. Distributions of 2% per annum plus up to $0.52 of the cash dividends paid by the Regency Centers common stock plus 5/6 of any additional dividends paid by Regency Centers above $0.52 per share will be paid quarterly on 1/1, 4/1, 7/1 & 10/1 to holders of record on 12/15, 3/15, 6/15 & 9/15 respectively. The SynDECS Notes are unsecured and unsubordinated obligations of the Citigroup Global Markets and will rank equally with all existing and future unsecured and unsubordinated indebtedness of the company.
