QUANTUMONLINE.COM SECURITY DESCRIPTION: Dynex Capital, Inc., 6.90% Series C Fixed-to-Floating Cumulative Redeemable Preferred Stock, liquidation preference $25 per share, redeemable at the issuer's option on or after 4/15/2025 at $25 per share plus accrued and unpaid dividends, and with no stated maturity. Cumulative distributions of 6.90% per annum ($1.725 per annum or $0.43125 per quarter) will be paid quarterly on 1/15, 4/15, 7/15 & 10/15 to holders of record on the record date that will be the first calendar day of the month in which the payment is due (NOTE: the ex-dividend date is one business day prior to the record date). From 4/15/2025 dividends will be paid at a floating rate of the Three-Month LIBOR plus 5.461% per annum.
Dividends paid by preferreds issued by REITs are NOT eligible for the preferential 15% to 20% tax rate on dividends and are also NOT eligible for the dividend received deduction for corporate holders.
Upon the occurrence of a change of control the company will have the option within 120 days to redeem the preferred shares at $25 per share plus accrued and unpaid dividends. If the company has exercised their redemption right, the holders will not have the following conversion right. Upon the occurrence of a Change of Control, each holder of Series C Preferred Stock will have the right, to redeem the Series C Preferred Stock in whole or part, to convert some or all of the Series C Preferred Stock held by such holder on the Change of Control Conversion Date into a number of shares of the Issuer’s common stock per share of Series C Preferred Stock equal to the lesser of: the quotient obtained by dividing the sum of the $25.00 liquidation preference per share of Series C Preferred Stock plus the amount of any accumulated and unpaid dividends; or the share cap of 2.63852 subject to adjustments to the Share Cap for any splits, subdivisions or combinations of the Issuer’s common stock (see the prospectus for details).
