BUSINESS: E-TRACS Linked to the Bloomberg Commodity Index Total Return ETN due 10/31/2039, formerly UBS ETRACS DJ-UBS Commodity Index Total Return ETN due 10/31/2039, are senior unsecured debt securities issued by UBS AG who is offering and selling the Medium-Term Notes, Series A of Exchange Traded Access Securities (ETRACS). INVESTMENT OBJECTIVE: The E-TRACS Linked to the Bloomberg Commodity Index Total Return ETN is designed to track the performance of the Bloomberg Commodity Index TR (the Index), less investor fees. INDEX DESCRIPTION: The Bloomberg Commodity Index TR is composed of the prices of twenty-two exchange-traded futures contracts on physical commodities. An exchange-traded futures contract is a bilateral agreement providing for the purchase and sale of a specified type and quantity of a commodity or financial instrument during a stated delivery month for a fixed price. Commodities that have been included in the Index are as follows: aluminum, coffee, copper, corn, cotton, crude oil (WTI and Brent), gold, heating oil, lean hogs, live cattle, natural gas, nickel, silver, soybeans, soybean meal, soybean oil, sugar, unleaded gas (RBOB), wheat (soft and hard red winter) and zinc. The Index is a total return index. The overall return on the Index is generated by two components: (i) unleveraged returns on futures contracts on the physical commodities comprising the Index and (ii) the returns that correspond to the weekly announced interest rate for specified 3-month U.S. Treasury Bills. RETURNS AND MATURITY: The return on the ETRACS ETNs, which may be positive or negative, is directly linked to the performance of the Index, which is based on a variety of market and economic factors, interest rates in the markets and economic, financial, political, regulatory, judicial or other events that affect the markets generally. On the Maturity Date, the Redemption Date or the Call Settlement Date, as the case may be, you will receive a cash payment per Security in an amount equal to: ($25.00 × Index Performance Ratio) minus the Fee Amount. The Maturity Date is October 31, 2039. REDEMPTION AND FEES: You may elect to require UBS to redeem your Securities, in whole or in part, prior to the Maturity Date on any Trading Day commencing on 11/19/2009 through and including the final Redemption Date, subject to a minimum redemption amount of at least 100,000 Securities ($2,500,000 aggregate principal amount). If you redeem your Securities, you will receive a cash payment equal to the Redemption Amount, which will be determined on the applicable Valuation Date and paid on the applicable Redemption Date. You must comply with the redemption procedures to redeem your Securities. Fee Amount is 0.50% per annum accrued on a daily basis.
