BUSINESS: DB 3x German Bund Futures ETN due 3/31/2021, formerly PowerShares DB 3x German Bund Futures ETN, are senior unsecured obligations securities issued by Deutsche Bank Aktiengesellschaft (AG), London Branch. INVESTMENT OBJECTIVE: The DB 3x German Bund Futures ETN offers exposure to the U.S. dollar value of the returns on a notional investment in Euro-Bund Futures which, in turn, reflect the market’s expectations as to the yield of long-term government bonds issued by the Federal Republic of Germany. INDEX DESCRIPTION: The Bund Future Index seeks to measure the performance of a notional long position in Euro-Bund Futures and is calculated in U.S. dollars. The notional investment in the Euro-Bund Futures contracts and the returns of the notional position in Euro-Bund Futures contracts are initially calculated in Eurozone euros and the returns of the notional position in Euro-Bund Futures contracts are subsequently converted into U.S. dollars to obtain the Bund Future Index levels. Accordingly, the Bund Future Index reflects exposure of the returns of the notional position in Euro-Bund Futures contracts to the change, if any, in the currency exchange rate between the Eurozone euro and the U.S. dollar from the previous rebalancing date of the Index to the date such index returns are calculated. If the return of the notional position in Euro-Bund Futures contracts from the previous rebalancing date of the index to the date such index returns are calculated is equal to zero, neither the Bund Future Index nor the securities will be subject to the change, if any, in the currency exchange rate between the Eurozone euro and the U.S. dollar during such time period. The TBill Index is intended to approximate the returns from investing in three-month United States Treasury bills on a rolling basis. If the Bund Future Index increases during any calendar month, the return on the Index for the 3x German Bund Futures ETN for that month will increase by three times the movement of the Bund Future Index, plus the monthly TBill index return. If the Bund Future Index decreases during any calendar month, the return on the Index for that month will decrease by three times the movement of the Bund Future Index, offset by any monthly TBill Index return. RETURNS AND MATURITY: If your securities have not previously been repurchased by Deutsche Bank, at maturity you will be entitled to receive a cash payment per security equal to: Current principal amount × applicable index factor on the final valuation date × fee factor on the final valuation date. Because the current principal amount is reset each month and is reduced by the investor fee, the securities do not offer a return based on the simple, point-to-point performance of the relevant Index from the inception date to the final valuation date or date of earlier repurchase. Instead, the amount you will be entitled to receive at maturity or upon any earlier repurchase will be contingent upon each monthly performance of the relevant Index during the term of the securities and will be reduced by the investor fee. Accordingly, even if over the term of the securities the relevant Index for your securities has demonstrated an overall positive performance, there is no guarantee that you will receive at maturity or upon any earlier repurchase, your initial investment or any portion thereof. This is because the amount you will be entitled to receive at maturity or upon any earlier repurchase depends on how the relevant Index has performed in each month prior to maturity or repurchase and, consequently, how the current principal amount has been reset in each month. In particular, significant negative monthly performances for your securities may not be offset by any positive monthly performances. The securities will be issued in denominations of $20 with a maturity date of March 31, 2021. REDEMPTION AND FEES: Investors can buy and sell the ETN on the NYSE Arca exchange or receive a cash payment at the scheduled maturity or early redemption based on the performance of the Index less investor fees. The issuer has the right to redeem the ETN at the repurchase value at any time. Investors may redeem the ETNs in blocks of no less than 200,000 securities and multiples of 50,000 securities thereafter, subject to the procedures described in the pricing supplement. Redemptions may include a fee of up to $0.03 per security. The investor fee is equal to 0.95% per annum, calculated daily and applied monthly to the current principal amount.
