QUANTUMONLINE.COM SECURITY DESCRIPTION: Anthem Inc., 6.00% Equity Security Units, stated amount $50 per unit, initially consisting of Normal Units which include a stock purchase contract and a 5.95% subordinated debenture with a principal amount of $50. The purchase contract requires the holder to purchase for $50 a variable number of shares of Anthem Inc. (NYSE: ATH) common stock no later than 11/15/2004 and pays a contract adjustment payment of 0.05% of the stated amount per year The settlement rate will be 1.14 shares per unit if the then current market price is equal to or greater than $43.92 and 1.39 shares per unit if the price is equal to or less than $36.00. The subordinated debenture is due 11/15/2006 and is subject to reset and remarketing on or after 8/15/2004. The Normal Units pay quarterly distributions of 6.00% per annum on 2/15, 5/15, 8/15 & 11/15 to holders of record on the first day of the month in which the payment is due. The subordinated debentures are pledged as collateral to secure the holder's obligations under the stock purchase contract. The holder has the right at any time to convert the Normal Units to Stripped Units by the substitution of a specified zero-coupon U.S. Treasury security for the subordinated debentures and to later recreate Normal Units.
